By accessing or using the FreightCMD platform ("FCMD", "we", "us") you agree to these Terms. If you do not agree, do not use the platform. These Terms apply to every role that interacts with FCMD — tenant fleet operators, tenant team members, individual drivers on the Connect marketplace, shippers (business and consumer), and end-recipients of freight.

1. Eligibility & accounts

You must be at least 18 years old and authorised to act for your organisation. You are responsible for all activity under your account and for keeping credentials secure. Drivers on the FCMD Connect marketplace must additionally complete identity verification (NIC, driving licence, vehicle documents) before their first paid trip; incomplete profiles are limited to browsing.

2. Service description — two products

FreightCMD provides software, coordination and payment-support tools and is not the carrier unless a signed transaction document expressly names FreightCMD as carrier. Actual transport is performed by the identified logistics provider, independent carrier or driver. FCMD offers two distinct products under one platform:

  • Management OS — subscription software used by a tenant fleet operator to run their own business (dispatch, live tracking, driver payroll, invoicing, wallet, COD reconciliation, analytics). The tenant's own shippers are billed by the tenant; FCMD may charge the fees shown in the tenant's accepted plan or transaction. A fleet driver’s employment or contractor status and pay are the tenant’s responsibility.
  • FCMD Connect — an on-demand marketplace where independent shippers post trips and independent (or tenant) drivers accept them. FCMD is the merchant of record for facilitates matching and may support collection and settlement under the Payments Disclosure. The accepted offer identifies the responsible carrier and applicable fees.

3. Quotes, deadhead surcharge & pricing

Quotes are computed live from vehicle-class base fare, per-km rate, wait charges, current fuel price and configured pricing rules. Because a carrier must drive from its origin to the pickup point and, once delivered, return an empty vehicle from the drop, every quote may include a configured deadhead charge shown in the quote. Pricing rules vary by provider, vehicle class and accepted offer; no example rate is universal.

Every accepted quote is snapshotted (base + distance + wait + deadhead + platform surcharge + payment-method fee + commission for Connect) and shown to the shipper before checkout. If material inputs (fuel, distance, cargo weight) change before dispatch the quote is re-computed and the shipper is notified to re-accept.

4. Subscriptions, trials & billing

The Management OS product is sold as a monthly subscription across the Starter, Growth and Enterprise plans. A 7-day free trial is available on the Starter and Growth plans only; the Enterprise plan is not offered on a free trial. A trial is not a paid subscription and confers no purchased entitlement.

  • Sri Lankan workspaces are billed in LKR via PayHere; other regions are billed in USD via Stripe.
  • Subscriptions renew automatically each month until cancelled.
  • Upgrades take effect immediately and are prorated for the remainder of the current billing period; downgrades take effect at the end of the current period.
  • Converting from a trial to a paid plan starts a new billing period and is charged in full for the chosen plan.
  • Late or failed payments may suspend access until the balance is settled. The platform automatically retries failed charges before suspending.

5. Wallets, escrow & payouts

A wallet shown in FreightCMD is a restricted accounting ledger, not a bank account, deposit, transferable currency or general-purpose stored value. Payment attribution, holds, reversals, settlement and withdrawals are governed by the Payments, Settlement & Wallet Disclosure. We do not call an arrangement escrow unless the bank and governing documents legally establish it as such.

  • Payout mode, timing and fees are those shown in the applicable plan or transaction confirmation and may depend on bank availability and verification.
  • Trip allowances are restricted ledger allocations for approved expenses. Reconciliation and any proposed recovery must be supported by trip records and can be disputed under the Complaints Policy.
  • Cash-on-Delivery (COD): drivers who collect COD hold funds for the responsible logistics provider until recorded handover. Any fee is shown in the accepted rate schedule.
  • Deposits: a slip or screenshot is not proof of cleared funds. The full referenced amount must be deposited or the request cancelled; users cannot alter an amount through the upload flow.
  • Every wallet mutation is written to an immutable audit log. FCMD runs nightly automated reconciliation; flagged mismatches are resolved by our operations team.

6. Trip P&L visibility

FCMD computes and stores a per-trip profit-and-loss snapshot (revenue, fuel, deadhead cost, driver pay, tolls, platform fees, gross margin) on delivery. Tenants can see the P&L for their own trips; FCMD platform administrators can see P&L across all trips for support and fraud purposes. Shippers only see the trip price and payment breakdown.

7. Acceptable use

  • No unlawful, hazardous or restricted cargo without the proper permits.
  • No attempts to break, probe or overload the platform.
  • No misuse of GPS data or other users' information.
  • No off-platform side-payments to circumvent FCMD Connect commission on trips originated through the marketplace.
  • No fraudulent COD reporting, PoD tampering, or falsified fuel / odometer entries.

8. Liability

The platform is provided "as is". To the maximum extent permitted by law, we are not liable for indirect, incidental or consequential damages. Our total liability for any claim is limited to the fees you paid FreightCMD in the prior three months. This cap does not convert third-party settlement funds into FreightCMD fees and does not limit a duty to account for cleared funds properly attributable to you, fraud, wilful misconduct, or liability that law does not permit us to limit.

9. Termination & suspension

You may close your account at any time. We may suspend or terminate access for material breach of these Terms or for non-payment. On suspension, active trips already accepted are allowed to complete; wallet balances remain owed to you subject to reconciliation and any lawful set-off.

10. Governing law

These Terms are governed by the laws of the Democratic Socialist Republic of Sri Lanka. Disputes will be resolved in the courts of Colombo.

11. Disputes and notices

Raise operational and payment complaints under the Complaints & Dispute Resolution Policy before starting proceedings where practical. Nothing removes a mandatory right to approach a regulator or court. Notices may be delivered electronically to the account contact.

12. General

Neither party is liable for delay caused by events beyond reasonable control, except payment and safeguarding duties already due. If one provision is unenforceable, the remainder continues. Failure to enforce a right is not a waiver. You may not assign the agreement without consent; FreightCMD may assign it with the business or service on notice. These Terms and incorporated policies are the entire platform agreement unless a signed order or enterprise agreement expressly overrides them.

13. Contracting details

Before commercial launch, the registered operator name, company number, registered address and legal notice address must be inserted into the ordering documents and Contact page. “FreightCMD” is the platform and trading name; this page does not invent the registered contracting entity.
